EMPLOYMENT AGREEMENT

7. NONDISCLOSURE OF INFORMATION CONCERNING BUSINESS

Employee will not at any time, in any fashion, form, or manner, either directly or indirectly divulge, disclose, or communicate to any person, firm, or corporation in any manner whatsoever any information of any kind, nature, or description concerning any matters affecting or relating to the business of employer, including without limitation, the names of any its customers, the prices it obtains or has obtained, or at which it sells or has sold its products, or any other information concerning the business of employer, its manner of operation, or its plans, processes, or other data of any kind, nature or description without regard to whether any or all of the foregoing matters would be deemed confidential, material, or important. The parties hereby stipulate that, as between and gravely    affect the effective and successful conduct of the business of employer, and its good will, and that any breach of the term of this section is material breach of this agreement.

8. OPTION TO TERMINATE ON PERMANENT DISABILITY OF EMPLOYEE

Not withstanding anything in this agreement to the contrary, employer is hereby given the option to terminate this agreement in the event that during the term hereof employee shall become permanently disabled, as the term “permanently disabled” is hereinafter fixed and defined. Such option shall be exercised by employer giving notice to employee by registered mail, addressed to him in care of employer at the above stated address, or at such other address as employee shall designate in writing, of its intention to terminate this agreement on the last day of the month during which such notice is emailed. On the giving of such notice this agreement and the term hereof shall cease and come to an end on the last day of the month in which the notice is emailed, with the same force and effect as if such last day of the month were date originally set forth as the termination date. For purpose of this agreement, employee shall be deemed to have become permanently disabled if, during any year of the term hereof, because of ill health, physical or mental disability, or for other causes beyond his control, he shall have been continuously unable or unwilling or have failed to perform his duties hereunder for thirty (30) days, whether consecutive or not. For the purpose hereof, the term “any year of the term hereof” is defined to mean any period of 12 calendar months commencing on the first day of_______and terminating on the day of________of the following year during the term hereof.

9. DISCOUNTANCE OF BUSINESS AS TERMINATION OF EMPLOYEMENT

Anything herein contained to the contrary notwithstanding, in the event that employer shall discontinue operations at the premises mentioned above, then this agreement shall cease and terminate as of the last day of the month in which operations cease with the same force and effects as if such last day of the month were originally set forth of the termination date hereof.

10. EMPLOYEE’S COMITMENTS BINDING ON EMPLOYER ONLY ON WRITTEN CONSENT.

Employee shall not have the right to make any contracts or other commitments for or on behalf or employer without the written consent of employer.

11. CONTRACT TERMS TO BE EXCLUSIVE

This written agreement contains the sole and entire agreement between the parties, and supersedes any and all other agreement between them. The parties acknowledge and agree that neither of them has made any representation with respect to the subject matter of this agreement or any representations inducing the execution and delivery hereof except such representations as are specifically set forth herein, and each party acknowledge that he or it has relied on his or its own judgment in entering into the agreement. The parties further acknowledge that any statements of them to the other are void and of no effect and that neither of them has relied thereon in connection with his or its dealings with the other.

7. LARANGAN PENGUNGKAPAN INFORMASI MENGENAI USAHA / BISNIS

Pihak keda tidak boleh kapanpun, dengan cara apapun dalam bentk apapun, ata metode apapun, baik secara langsung maupun tidak langsung membocorkan, mengungkapkan, memberitahukan, kepada siapapun, badan usaha manapun, atau perusahaan manapun, dalam metode bagaimanapun, jenis apapun, bentuk apapun, atau penjelasan bagaimanapun yang berkenaan dengan hal-hal apapun yang berkenaan ata berkaitan dengan usaha bisnis pihak pertama, termasuk, tanpa terkecuali, nama dari setiap pelangganya, harga yang tidak berubah ata yang ditetapkan, yang mana dengan harga tersebut pihak pertama telah senantiasa menjual produknya, atau setiap informasi lain  yang berkenaan dengan usaha ,bisnis pihak pertama, termask cara pengoperasiannya, ata rencana-rencananya, pemrosesannya, atau data lainnya dalam jenis, bentuk atau penjelasan apapun  tanpa memperhatikan apakah setiap atau semua hal yang disebutkan diatas dianggap rahasia, berharga, atau penting. Dengan ini kedua pihak menyetujui bahwa kedanya sangat mempengarhi keefektifitasan dan kesuksesan pelaksanaan usaha pihak pertama, dan itikad baiknya, dan bahwa setiap pelanggaran syarat-syarat pada bagian ini dianggap sebagai pelanggaran yang penting dalam perjanjian ini.

8. PILIHAN UNTUK MENGAKHIRI KONTRAK YANG DISEBABKAN CACAT SEUMUR HIDUP PIHAK KEDUA

Tanpa menyalahi perjanjian apapaun yang tertera didalam kontrak ini, bersama ini pihak pertama memberikan pilihan untk mengakhiri perjanjian ini bilamana selama jangka waktu yang tertera didalam persyaratan ini pihak keda mengalami cacat seumur hidup, adapun yang dimaksud "cacat seumur hidup" akan ditentukan dan dijabarkan berikutnya.  Sebagaimana pilihan yang seharusnya dilakukan oleh pihak pertama memberikan pemberitahuan kepada pihak kedua dengan mendaftarkan surat, dialamatkan kepada pihak kedua dalam perawatan dari pihak pertama dengan alamat yang dinyatakan seperti diatas, atau dengan alamat lain seperti yang ditunjuk oleh pihak kedua secara tertulis, berdasarkan keinginannya ntuk mengakhiri perjanjian ini di hari terakhir di bulan tersebut selama pembeitahuan tersebut disurelkan. Sebagaimana pemberitahuan dan persyaratan yang tertera didalam perjanjian ini harus berhenti dan datang pada hari terakhir pada bulan dimana pemberitahuan disurelkan, dengan paksaan dan akibat yang sama seperti jika pada hari di bulan tersebut merupakan tanggal yang selanjutnya ditetapkan sebagai tanggal berakhirnya kontrak.Dimaksudkan dalam perjanjian ini, pihak kedua dianggap mengalami cacat seumur hidup jika, selama sepanjang tahun didalam perjanjian ini, dikarenakan menderita sakit, cacat fisik ataupun mental, atau karena alasan-alasan lain diluar kendali pihak kedua, pihak kedua  tidak mampu atau tidak bersedia atau gagal melaksanakan tugas-tugasnya selama tigapluh (30) hari secara berkesinambungan, baik berturut-turut maupun tidak.  Adapun yang dimaksud "sepanjang tahun dalam perjanjian ini" dijabakan sebagai periode 12 bulan kelender dimulai pada tanggal__________dan berakhir pada tanggal___________berdasarkan tahun yang dimaksud didalam.

9. PEMBERHENTIAN BISNIS SEBAGAI PEMUTUSAN KERJA

Apapun yang tidak sesuai dengan isi didalam ini, maka pihak pertama berhak memberhentikan kerjasama dengan janji-janji yang telah disebutkan diatas, kemudian perjanjian ini berhak dihentikan dan diakhiri pada tanggal terakhir di bulan tersebut yang mana kerjasama dihentikan dengan paksa dan akibat yang sama sebagaimana pada tanggal terakhir dibulan tersbut yang seterusnya diatur secara sah sebagai tanggal berakhirnya perjanjian. 

10. KOMITMEN PIHAK KEDUA TERHADAP PIHAK PERTAMA HANYA DENGAN IZIN TERTULIS

Pihak kedua tidak berhak untuk membuat kontrak apapun atau komitmen-komitmen lainnya untuk kepentingan pihak pertama tanpa izin tertulis dari pihak pertama. 

11. PERJANJIAN-PERJANJIAN KONTRAK YANG MENJADI EKSLUSIF

Perjanjian tertulis ini berisi sebagian dan keseluruhan perjanjian antara kedua belah pihak, dan menggantikan setiap dan seluruh perjanjian lainnya antara kedua belah pihak. Kedua belah pihak menyatakan bahwa tidak satu pihak pun telah membuat gambaran apapun dengan rasa hormat kepada hal yang dituju dalam perjanjian ini atau setiap perwakilan-perwakilan yang menyebabkan pelaksanaan dan pengantaran didalam ini kecuali perwakilan-perwakilan yang sebagaimana secara spesifik telah diatur seterusnya didalam perjanjian ini, dan masing-masing pihak menyatakan bahwa mereka telah mempercayakan satu sama lain dalam menandatangani perjanjian ini. Kedua belah pihak selanjutnya menyatakan bahwa pernyataan-pernyataan apapun adalah sia-sia dan tidak berdampak dan bahwa tidak satu pihakpun mempercayakan koneksi dengan kesepakatan satu sama lain.

EMPLOYMENT AGREEMENT

This agreement made and entered into this _____ day of ______, 20___, by and between _______(“employer”), and ________ (“employee”). The parties recite that :

A.     Employer is engaged in ________ and maintains business premises at __________.

B.     Employee is willing to be employed by employer, and employer is willing to employ employee, on the terms and conditions hereinafter set forth. For the reasons set forth above, and in consideration of the mutual covenants and promises of the parties hereto, employer and employee covenant and agree as follows :

1.      AGREEMENT TO EMPLOY AND BE EMPLOYED

Employer hereby employs employee as ________ at the above-mentioned premises, and employee hereby accepts and agrees to such employment.

2.      DESCRIPTION OF EMPLOYEE’S DUTIES

Subject to the supervision and pursuant to the orders, advice, and direction of employer, employee shall perform such duties as are customarily performed by one holding such position in other businesses or enterprises of the same or similar nature as that engaged in by employer. Employee shall additionally render such other and unrelated services and duties as may be assigned to him from time to time by employer.

3.      MANNER OF PERFORMANCE OF EMPLOYEE’S DUTIES

Employee shall at all times faithfully, industriously, and to the best of his ability, experience, and talent, perform all duties that may be required of and from him pursuant to the express and implicit terms hereof, to the reasonable satisfaction of employer. Such duties shall be rendered at the abovementioned premises and at such other place or places as employer shall in good faith require or as the interests, needs, business, and opportunities of employer shall require or make advisable.

4.      DURATION OF EMPLOYMENT

The term of employment shall be ______ years, commencing on _______, 19___, and terminating _______, 19___, subject, however, to prior termination as otherwise provided herein.

5.      COMPENSATION; REIMBURSEMENT

Employer shall pay employee and employee agrees to accept from employer, in full payment, for employee’s services hereunder, compensation at the rate of ________ Dollars ($______) per annum, payable _______. In addition to the foregoing, employer will reimburse employee for any and all necessary, customary, and usual expenses incurred by him while traveling for and on behalf of the employer pursuant to employer’s directions.

6.      EMPLOYEE’S LOYALTY TO EMPLOYER’S INTERESTS

Employee shall devote all of his time, attention, knowledge, and skill solely and exclusively to the business and interests of employer, and employer shall be entitled to all benefits, emoluments, profits, or other issues arising from or incident to any and all work, services, and advice of employee. Employee expressly agrees that during the term hereof he will not be interested, directly or indirectly, in any form, fashion, or manner, as partner , officer, director, stockholder, advisor, employee, or in any other form or capacity, in any other business similar to employer’s business or any allied trade, except that nothing herein contained shall be deemed to prevent or limit the right of employee to invest any of his surplus funds in the capital stock or other securities of any corporation whose stock or securities are publicly owned or are regularly traded on any public exchange, nor shall anything herein contained by deemed to prevent employee from investing or limit employee’s right to invest his surplus funds in real estate. 

 

PERJANJIAN KERJA

Perjanjian ini dibuat dan disetujui pada tanggal_____ dan tahun ______, 20___, oleh kedua belah pihak antara_______"perusahaan" (selanjutnya disebut pihak pertama), and ________ “pegawai”(selanjutnya disebut pihak kedua). Kedua belah pihak menyatakan bahwa :

A.     Pihak pertama yang bergerak di bidang________ dan beralamat kantor di__________.  

B.     Pihak kedua bersedia diperkerjakan oleh pihak pertama, dan pihak pertama bersedia memperkerjakan pihak kedua, bedasarkan syarat-syarat dan ketentuan-ketentuan yang ditetapkan bersama. Berdasarkan alasan-alasan yang telah disepakati diatas, dan pertimbangan mengenai kesepakatan-kesepakatan dan perjanjian-perjanjian bersama, dengan ini, pihak pertama dan pihak kedua menyepakati dan menyetujui hal-hal sebagai berikut :   

1.      PERJANJIAN UNTUK BEKERJA DAN DIPERKERJAKAN

Pihak pertama bersama ini memperkerjakan pihak kedua sebagai________ di kantor yang telah disebtukan diatas, dan pihak kedua bersama ini menerima dan menyetujui pekerjaan tersebut.

2.      URAIAN DARI TUGAS-TUGAS PIHAK KEDUA

Tunduk kepada aturan dan patuh terhadap perintah-perintah,anjuran, dan arahan dari pihak pertama, pihak kedua harus melaksanakan tugas-tugas sebagaimana biasanya dilakukan oleh seseorang yang menduduki jabatan serupa dalam rangka usaha-usaha atau perusahaan-perusahaan seperti yang bergerak dibidang yang sama dengan pihak pertama. Pihak kedua juga harus menerima layanan-layanan lainnya yang yang mungkin tidak berkaitan sebagaimana ditugaskan kapan saja kepada pihak kedua oleh pihak pertama.

3.      TATA CARA PELAKSANAAN TUGAS-TUGAS PIHAK KEDUA

Pihak kedua selalu setia, tekun, sesuai dengan keterampilan, pengalaman, dan bakat yang dimilikinya, dalam melaksanankan setiap tugas-tugas yang diminta oleh atasan, baik yang tersurat maupun tersirat berdasarkan alasan kepuasan dari pihak pertama.Tugas-tugas tersebut harus diterima di kantor yang beralamat diatas atau ditempat lain yang disebutkan oleh pihak pertama harus dengan itikad baik atau kebutuhan seperti kepentingan, kebutuhan, urusan-urusan, dan kesempatan-kesempatan pihak pertama harus meminta atau membuat anjuran.

4.      LAMANYA MASA KERJA

Lamanya masa kerja yang ditentukan adalah selama______ tahun, dimulai dari tahun_______, 19___, dan selesai pada tahun_______, 19___, namun penghentian bisa terjadi sebelum waktu yang ditetapkan dalam perjanjian diatas.

5.      PENGGANTIAN;PENEGEMBALIAN

Pihak pertama harus menggaji pihak kedua dan pihak kedua setuju untuk menerima gaji dari pihak pertama, pembagian penuh, berdasarkan jasa-jasa pihak kedua yang tertera pada surat ini, penggantian sebesar________ Dollar ($______) per tahun, yang dapat dibayarkan sebesar_______. Sebagai tambahan , pihak kedua akan membayar kembali pihak pertama terlebih dahulu untuk setiap biaya yang diperlukan dan biasa terjadi pada pihak kedua ketika berpergian berdasarkan kepentingan pihak pertama yang sesuai dengan arahan-arahan pihak pertama.

6.      KESETIAAN PIHAK KEDUA KEPADA KEPENTINGAN PIHAK PERTAMA

Pihak kedua harus mencurahkan segala waktu, perhatian, pengetahuan, dan keterampilannya secara khusus hanya untuk urusan-urusan dan kepentingan-kepentingan pihak pertama, dan pihak pertama berhak atas segala manfaat, honor, laba atau hal-hal lain yang ditimbulkan atas setiap pekerjaan, pelayanan, dan saran dari pihak kedua. Pihak kedua terlebih dulu menyetujui bahwa selama syarat didalam, ia tidak akan dipentingkan, baik secara langsung maupun tidak langsung, dalam setiap kondisi, mode, atau cara, baik sebagai rekan, petugas, pengarah, pemegang saham, penasehat, pihak kedua, atau dalam setiap kondisi atau kapasitas lainnya, dalam setiap urusan-urusan yang serupa terhadap urusan-urusan pihak pertama atau setiap perdagangan berserikat, kecuali terhadap ketentuan yang tidak tertera di dalam surat ini harus di akui untuk mencegah atau membatasi hak dari pihak kedua untuk

Social Problem in Developed Countries

If we talk about developed countries such as; America, China, Germany, France, and many more, we may think about their riches, their strength, or maybe how many cars which their have in every house in those countries. America, China, French, and all of developed countries are not build in instant method, they have regular programs to develop their country. Every government in those countries had worked extra hard until they came into superior, or may emperor in the world. For a simple example, right now, every people in every country feel so inferior if they meet with American. We do not have to expect too much what will we do if we meet with an American, in my opinion it is a good progression if an Indonesian student dares to talk with a tourist from America. But, let’s we try to compare with tourist from other countries such a Poland. I am sure many Indonesian prefers to talk with a tourist from Poland. Yes, it is because we do not feel a same inferior feeling when we talk with Poland and American. In conclusion, I think exposition above is enough to explain how great developed countries are.

But, there are some problems that are resulted by developed countries to other countries (especially poor countries) in the world. Like a sociology theory, every society must be has more poor people than rich people. Yes, it is an effect of developing country in the world. When there is one country developed well both of social and economic aspect, it must be there are ten countries developed badly and foul to develop their social and economic aspect, in further effect so many people in poor countries get stave, or get an odd disease such a H5N1. In the more extreme effect, people in poor countries will be killed by developed countries. And of course it increases from year to year.

Yes, they (developed countries) result problems naturally. The gap that they made is larger from year to year. For an easy example, I know, we know, you know, they know, every one know about a name from Canada, Justin Bieber. He comes from an elite country in southern America, Canada. Every one wants to be like him. He is young, smart, handsome, and of course rich. Justin is so perfect as a superstar. He is so famous in the world, he must be shouted by every body if they can see Justin, he is not only a superstar, but he also an unchangeable idol for his fans. Yes, all of that occur in a developed country. Now, let’s see poor country such a Somalia. Do not ever expect if Somalia people become a superstar like a Justin Bieber, for they daily dinner they have to fight (or even war) with other Somalia people. Do not ever blame Somalia’s government, do not ever blame their country, because they only a victim. They are victim of a mistake that come from authority. This world is enough for all peoples in all around the world, but it does not enough for one greedy person. So even though you have infinitive riches, you hold power full authority in your hand. Do not ever forget to share your happiness to each other, because by sharing whatever you have for poor people God will never stop His blesses for you.
